These Seller Terms & Conditions (“Seller Terms”) govern the relationship between Singair Mart and every person or business approved to sell on the Singair Mart marketplace (each a “Seller” or “Vendor”). They supplement the general Terms & Conditions and incorporate the Seller Code of Conduct, the Prohibited & Restricted Products Policy and the Intellectual Property Policy. By applying for or operating a Seller account, you agree to these Seller Terms.
1. Eligibility and Onboarding
1.1. Seller accounts are open to individuals aged 18 or over and to legally constituted businesses in Bangladesh. During onboarding we may require, and you must provide truthfully: your legal name and store name; national identity document (NID) or incorporation documents; a valid trade licence where applicable; TIN/BIN where applicable; contact details; bank or licensed mobile financial service (MFS) account details in your own name for settlements; and product category information.
1.2. Applications are reviewed by our team, and approval may be granted, declined or conditioned at our discretion. We may re-verify your documents periodically and suspend accounts whose documents expire or prove false. Providing false onboarding information is grounds for immediate termination and may constitute an offence under Applicable Law.
1.3. You are an independent business. Nothing in these Seller Terms creates an employment, agency, partnership or franchise relationship between you and Singair Mart. You have no authority to bind Singair Mart or to make statements on its behalf.
2. Your Store and Listings
2.1. Upon approval you receive access to the vendor dashboard, a public storefront page, and tools to manage products, inventory, orders, customers, reviews, questions and your wallet.
2.2. You are solely responsible for your listings: product names, descriptions, images, specifications, prices, stock accuracy, warranty statements, expiry information and compliance with the Prohibited & Restricted Products Policy and all Applicable Law (including labelling, BSTI certification and Safe Food Act requirements where relevant). Listings must describe genuine products you own or are authorised to sell, held in stock or reliably procurable within your stated handling time.
2.3. You must keep stock levels accurate. Repeated cancellations for out-of-stock items harm customers and are a performance violation. Use the inventory tools and vacation mode when you cannot fulfil orders.
2.4. You grant Singair Mart a non-exclusive, royalty-free licence to display, reproduce, adapt and promote your listings, store name and logo on the Platform and in marketing channels for the purpose of operating and promoting the marketplace.
2.5. We may edit listings for formatting and policy compliance, suppress or remove listings that violate policy or law, and organise categories, search rankings and campaign placements at our discretion, applying fair and generally applicable criteria.
3. Orders and Fulfilment
3.1. You must acknowledge and process orders promptly through the vendor dashboard, pack products securely and appropriately for transport, and hand them over for delivery within your stated handling time so that the customer-facing delivery estimates and the timelines of the Digital Commerce Operation Guidelines 2021 are met.
3.2. Where Singair Mart coordinates delivery through Riders, you must comply with pickup and handover procedures. Where you deliver directly, you are responsible for the Rider’s conduct and for accurate, timely status updates (shipped, out for delivery, delivered) so that customer tracking remains truthful.
3.3. You must not include marketing material in parcels that diverts customers off-Platform, and must not solicit direct payments from Platform customers.
3.4. Cancellations you initiate must be for genuine cause (verified out-of-stock, listing error, force majeure) and are recorded in your performance metrics.
4. Pricing, Commission, Wallet and Settlements
4.1. You set your product prices. Prices must be genuine and comply with the Consumer Rights Protection Act 2009; artificially inflated “regular” prices used to display fake discounts are prohibited.
4.2. Singair Mart charges a commission on each completed sale at the rate communicated in your dashboard or category schedule (default rate as published, currently 10% unless otherwise agreed), plus any fees expressly notified in advance (for example, optional promotional placements). Commission rates may be revised with at least 15 days’ notice; revised rates apply to orders placed after the effective date.
4.3. Sales proceeds, net of commission and applicable fees, are credited to your vendor wallet upon order completion, subject to any holding period for returns and disputes and to escrow or payment-intermediation requirements applicable under Bangladesh Bank directions. Wallet history, pending balances and earnings statements are available in your dashboard.
4.4. You may request withdrawal of your available wallet balance to your verified bank or MFS account. Withdrawals are processed within the timeline shown in the dashboard. We may offset from your wallet: customer refunds attributable to your orders, chargebacks, penalties under the Seller Code of Conduct, and amounts you owe us, with an itemised record.
4.5. You are responsible for your own taxes, including VAT registration and Mushak invoicing where the law requires, income tax, and any withholding obligations. We may deduct or report taxes where the law requires a marketplace to do so, and will provide corresponding statements.
5. Returns, Refunds and Customer Service
5.1. You must honour the Platform’s Return & Refund Policy and Buyer Protection Policy for your orders, including accepting returns of defective, damaged, counterfeit, wrong or misdescribed items and bearing the associated delivery costs.
5.2. You must respond to customer questions, review responses and dispute enquiries through the dashboard within 48 hours. Singair Mart may issue a customer remedy on your behalf where you fail to respond within the required time, and charge it to your wallet, where the evidence reasonably supports the customer.
6. Performance Standards
6.1. We measure Seller performance, including: order defect rate (defective/wrong/counterfeit complaints), cancellation rate, late-handover rate, return rate, review score and response time. Persistent underperformance may result in reduced visibility, campaign exclusion, listing limits, suspension or termination, following the escalation approach in the Seller Code of Conduct.
7. Compliance and Prohibited Conduct
7.1. You must comply with all Applicable Law, the Prohibited & Restricted Products Policy and the Seller Code of Conduct. In particular you must not: sell counterfeit or smuggled goods; manipulate reviews or ratings (including buying reviews or reviewing your own products); create fake orders; abuse coupons or campaigns; misuse customer personal data received through the Platform (it may be used only to fulfil the relevant order and must be kept confidential); or engage in price collusion contrary to the Competition Act 2012.
7.2. Customer personal data must be protected. Upon termination, you must delete customer data received through the Platform except records you are legally required to retain.
8. Intellectual Property
8.1. You warrant that your listings and store content do not infringe any third party’s copyright, trademark or other rights, and that you are authorised to sell the branded products you list. You will indemnify Singair Mart against claims arising from your breach of this warranty. Infringement complaints are processed under the Intellectual Property Policy, which may include listing takedown and account penalties.
9. Suspension and Termination
9.1. Either party may terminate the seller relationship with 30 days’ written notice. We may suspend or terminate immediately, with notice to you, for: material breach of these Seller Terms; sale of prohibited or counterfeit items; fraud or manipulation; legal or regulatory requirement; or serious risk to customers or the Platform.
9.2. On termination: your listings are unpublished; open orders must still be fulfilled or refunded; your wallet balance, after deduction of amounts properly withheld for open returns, disputes and offsets, is paid out within the settlement timeline; and clauses concerning indemnity, data protection, records and disputes survive.
10. Liability and Indemnity
10.1. You are responsible for your products and your performance, and you indemnify Singair Mart against third-party claims (including customer claims, regulatory penalties and IP claims) arising from your products, listings, or breach of these Seller Terms, except to the extent caused by our own fault.
10.2. Our liability to you is limited to the commissions we charged on the transactions giving rise to the claim in the preceding three months, except for liability that cannot be limited under Applicable Law.
11. General
11.1. We may amend these Seller Terms with at least 15 days’ notice through the vendor dashboard or email; continued selling after the effective date constitutes acceptance. These Seller Terms are governed by the laws of Bangladesh; disputes follow the dispute-resolution clause of the Terms & Conditions (arbitration in Dhaka under the Arbitration Act 2001 for non-consumer disputes).
